Warranty
Dorchester Canopies LLC (“Dorchester Canopies” or “Company”) manufactures, installs and services awning products offers the following warranties to its customers.
Commercial and Custom Canopies, Awnings, Curtains, and Repairs.
Where the product is manufactured or the repair done exclusively by Dorchester Canopies, the Company warrants and represents that the materials and labor for such work shall be performed in a workmanlike manner, according to accepted standard practices and shall be free from material defects and shall be covered as follows.
We warrant that each such product operated by the purchaser under normal use will be warranted as follows for the periods provided below, subject to the requirements, exclusions, limitations and disclaimers stated below which will be strictly applied.

Buyer shall have a manufacturer's limited prorated warranty on fabric (material only), whether manufactured from vinyl-coated fabric or other fabric types, provided the awning has been maintained and cleaned regularly.
Retractable Awnings, Pergolas, Porch Enclosures and Other Products.
Retractable awnings, Pergolas, Porch Enclosures and other products are manufactured by other parties. In this case the manufacturer's warranty is the primary warranty, and we pass on the manufacturer’s warranty to the customer (“Pass-Tru Warranties”).
These Pass-Tru Warranties apply to all aspects of the products, with the exception of installation, which we warrant separately (details below). These Pass-Tru Warranties are administered and managed by the respective manufacturer and are the exclusive warranties relating to the product. Manufacturers make the final determination of any warranty claims. We facilitate any claims for warranties between the end-user and the manufacturer.
The manufacturers warrant that each such product operated by the purchaser under normal use will be warranted as provided below, subject to the requirements, exclusions, limitations and disclaimers stated below which will be strictly applied.

Installation Warranty.
Dorchester Canopies hereby warrants that all installation work done by us shall be performed in a workmanlike manner, according to accepted standard practices and is free of any defects that would nullify the manufacturer’s product warranty.
We warrant that each such installation under normal use will be warranted as follows for the periods provided below, subject to the requirements, exclusions, limitations and disclaimers stated below which will be strictly applied.

Normal Use, Exclusions
This Warranty covers only defects in the original product which arise from normal use and does not apply if the product has been subject to negligence (including but not limited to failure to provide reasonable and necessary maintenance in the opinion of Dorchester Canopies, accident, abuse, misuse, neglect or overload or has been repaired or altered without the prior written consent of Dorchester Canopies.
Limitations
THE SOLE RESPONSIBILITY OF DORCHESTER CANOPIES UNDER THIS LIMITED WARRANTY SHALL BE TO REPAIR AND REPLACE PARTS IN ACCORDANCE WITH THE ABOVE. ALL OTHER OBLIGATIONS OR LIABILITIES INCLUDING INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR CONTINGENT LIABILITIES ARISING OUT OF THE FAILURE OF ANY PARTS TO OPERATE PROPERLY, ARE HEREBY EXCLUDED, INCLUDING BUT NOT LIMITED TO ANY DAMAGES RESULTING FROM LOSS OR USE, INCONVENIENCE, LOSS OF TIME, COMMERCIAL LOSS OR ANY OTHER TYPE OF DAMAGES, GENERAL OR SPECIFIC, FORESEEN OR UNFORESEEN, UNLESS APPLICABLE MASSACHUSETTS LAW PROVIDES OTHERWISE.
Disclaimers
THIS WARRANTY IS EXPRESSLY IN LIEU OF ALL OTHER EXPRESS WARRANTIES AND REPRESENTATION, DORCHESTER CANOPIES MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO DORCHESTER CANOPIES, LLC WHETHER AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER MATTER. NO ONE, IS AUTHORIZED TO MAKE FURTHER OR ADDITIONAL WARRANTIES ON BEHALF OF DORCHESTER CANOPIES. ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR INTENDED USE ARE HEREBY WAIVED, UNLESS ANY APPLICABLE STATE LAW PROVIDES OTHERWISE.
The following is not covered by the Dorchester Canopies installation warranty:
a) Damage caused by accident, negligence, water pooling, misuse, abuse, alteration and failure to follow instructions, improper operations, ice, snow, windstorm, rainstorm, fire, flood, earthquakes, and other acts of God, vandalism, loads hung from the awning, or normal wear and tear from use or failure to provide a reasonable degree of maintenance or any other condition in which Dorchester Canopies has no control.
b) Damage resulting from repair or attempted repair by a non-authorized Dorchester Canopies service technician.
c) Damage/deterioration to any fabric or valence free hanging or loose in the wind.
d) Freight costs to return the product to the factory for repair.
e) Damages to the awning frame, fabric, motor or components caused by saltwater corrosion.
The parties agree that Buyer’s sole and exclusive remedy against Dorchester Canopies shall be for the repair or replacement of any awning materials, which are defective when delivered and covered under the Warranty. In no event shall Dorchester Canopies be liable for direct, indirect, special, incidental, or consequential damages (including loss of profits) whether based on contract, tort, or any other legal theory.
Any defects or discrepancies in the awning materials as delivered or installed must be reported to Dorchester Canopies within twenty (20) days after the Buyer receives the awning materials or it will be conclusively presumed that the awning materials were as ordered and were received in good condition. Notice to Dorchester Canopies of any defects, discrepancies, or objections must be delivered in writing via certified or registered mail to the address shown on the face of this agreement.
Our Liability
Dorchester Canopies shall not be responsible for loss or damage to Buyer’s business or property or injury or death to persons, or other consequential damages during installation removal or after completion. Buyer shall indemnify Dorchester Canopies and hold it harmless from any claims for any of the foregoing.
It is hereby expressly provided that although the said materials have been hereinbefore described, the materials delivered by Dorchester Canopies hereunder shall be deemed to correspond with their description, when they correspond with the sample which has been produced too, examined, and selected by the Buyer. Since aesthetics is an important factor in our industry and since the Company’s services are essential to transform canvas and metal into pleasing designs, it is sometimes necessary to alter the Buyer’s layout and/or specifications to make them conform to available materials, acceptable tolerances and engineering or regulatory constraints. Dorchester Canopies reserves the right to make such changes.
Dorchester Canopies also reserves the right to cancel this contract if engineering changes required by a governmental entity or permitting authority increase the Company’s materials and/or labor costs by more than 5%.
DORCHESTER CANOPIES WILL NOT BE RESPONSIBLE FOR THE USEFULNESS OF ANY FRAME NOT BUILT OR INSTALLED BY US UNLESS WE ARE AUTHORIZED BY THE BUYER TO REBUILD THE SAME TO THE COMPANY’S SPECIFICATIONS.
Awning materials used by Dorchester Canopies may have been treated with a mildew inhibitor. Mildew is micro-organic bacteria, which can grow on any material, metal, glass, or plastics, BUT WE OFFER NO GUARANTEE WHATSOEVER THAT MILDEW WILL NOT OCCUR.
Dorchester Canopies reserves the right to amend this warranty at our discretion.
